Important

CloserWin assists sales execution but does not replace your responsibility for what your business sends, promises, schedules or sells. Keep approval enabled whenever a conversation requires human judgment.

1. Agreement to these Terms

By creating an account, purchasing a plan or using CloserWin, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent. If you do not have authority to bind that organization, you must not create or operate its workspace.

2. The service

CloserWin, a product by Plan0101, provides a business software service that may include an omnichannel sales inbox, leads, deals, pipeline, business knowledge, AI-assisted qualification and drafting, follow-ups, scheduling, analytics, billing controls and third-party integrations. Features may change as the product evolves.

3. Accounts and security

You must provide accurate account information, protect your credentials, keep provider accounts secure and promptly notify the operator if you suspect unauthorized access. You are responsible for activity performed through your workspace by authorized users and connected accounts.

Do not share a personal account session with unauthorized users or attempt to bypass role, tenant, plan, rate-limit or security controls.

4. Customer data and instructions

You retain ownership of the business data, messages, files, knowledge and other content you submit or connect to CloserWin. You grant CloserWin the limited rights needed to host, transform, retrieve, transmit and process that content solely to provide, secure and improve the requested service functionality.

You are responsible for having the permissions, notices and lawful basis required to connect or process customer, prospect, employee or third-party data through CloserWin.

5. Connected channels

Google, Meta and other provider connections remain subject to those providers' own terms, platform policies, messaging restrictions and API rules. You must not use CloserWin to evade provider restrictions, send unlawful spam, impersonate others or message recipients when your business is not permitted to do so.

A provider may suspend an integration, revoke a token, change an API or reject a message independently of CloserWin.

6. AI features and human oversight

AI output can be incomplete, inaccurate or inappropriate for a particular business context. CloserWin includes grounding, verification, approval, follow-up limits and handoff controls, but those controls do not guarantee that every output will be correct.

You are responsible for configuring accurate business knowledge and choosing an appropriate autonomy level. Do not rely on AI output as legal, tax, medical, financial or other regulated professional advice. High-impact commitments such as price, availability, contractual terms or policy should be confirmed from authoritative business information.

7. Acceptable use

You may not use CloserWin to:

  • Break the law, violate third-party rights or facilitate fraud, harassment or deception.
  • Send unsolicited bulk messages where prohibited or bypass consent/opt-out requirements.
  • Upload malware, steal credentials, probe systems without authorization or interfere with service availability.
  • Attempt to access another tenant's data or reverse-engineer security controls.
  • Use connected accounts or AI features to impersonate a person or business without authorization.
  • Process data that you are legally prohibited from collecting or using.

8. Plans, billing and AI credits

Paid plans, prices, included AI credits and feature limits are shown at checkout or in Billing. Unless stated otherwise, subscriptions are billed monthly in USD. Paddle may act as the payment and subscription provider. Provider messaging fees, API fees or other third-party charges are separate unless explicitly stated.

AI credits meter eligible AI actions. Core workspace functionality may remain available after AI credits are exhausted, while metered AI actions can pause until the next billing period or a plan change. Unused included credits do not roll over unless a plan explicitly says otherwise.

9. Cancellation and refunds

You may cancel through the available billing controls. Cancellation normally takes effect according to the billing status shown by the payment provider. Fees already paid are non-refundable except where required by law or explicitly agreed in writing. If a checkout, invoice or order form states different cancellation or refund terms, that document controls for that purchase. See the separate Refund & Cancellation Policy for additional details.

10. Third-party services

CloserWin depends on external services such as Google, Meta, OpenAI, Paddle, Resend and infrastructure providers. CloserWin is not responsible for outages, policy changes, account suspensions, content decisions or failures caused solely by those third parties, although reasonable efforts may be made to restore affected functionality.

11. Intellectual property

CloserWin, its software, product design, documentation, branding and underlying technology remain the property of the service operator and its licensors. These Terms do not transfer ownership of CloserWin to the customer. Customer content remains the customer's property as described above.

If you voluntarily provide product feedback, you permit the operator to use it without restriction or compensation, provided that doing so does not disclose your confidential customer content.

12. Confidentiality

Each party should protect non-public information received from the other with reasonable care and use it only for the relationship under these Terms. This does not cover information that is already public through no breach, independently developed, lawfully received from another source or required to be disclosed by law.

13. Availability, changes and beta features

CloserWin is provided on a commercially reasonable-efforts basis. No uninterrupted or error-free operation is guaranteed. Features may be added, changed, limited or discontinued, particularly preview or beta functionality. Material reductions to a paid core feature should be handled reasonably, including notice where practical.

14. Suspension and termination

Access may be suspended or terminated for non-payment, security risk, material breach, unlawful use, provider-policy abuse or activity that threatens other customers or the service. Where practical and safe, CloserWin should provide notice and an opportunity to cure before termination for a remediable breach.

15. Disclaimers

To the maximum extent permitted by law, CloserWin is provided “as is” and “as available” without warranties that AI output, provider delivery, conversion outcomes, revenue results or third-party integrations will meet a particular objective. Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

16. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary or consequential damages, lost profits or lost business arising from the service. The aggregate liability of the service operator for claims relating to CloserWin will not exceed the fees paid for the service during the 12 months before the event giving rise to the claim, except where applicable law does not allow that limitation.

17. Indemnity

To the extent permitted by law, a business customer will defend or reimburse the service operator for third-party claims caused by the customer's unlawful content, lack of required permissions, misuse of connected channels, or material violation of these Terms.

18. Changes to these Terms

These Terms may be updated as CloserWin changes. Material updates should be identified by a new effective date and may require renewed acceptance. Continued use after an applicable update takes effect constitutes acceptance where permitted by law.

19. Governing terms and disputes

If an order form or signed agreement specifies a governing law, venue or dispute process, that document controls. Otherwise, the relationship is governed by the law applicable to the service operator's principal place of business, subject to mandatory protections that cannot be waived in the customer's jurisdiction.

20. Contact

Questions about these Terms can be directed to Plan0101 through its official contact channel at https://plan0101.com.

Translations are provided for convenience. If a translated version conflicts with the English version, the English version controls to the extent permitted by applicable law.
